These Terms of Service govern your use of www.adzmobile.1248llc.com and your interactions with ADZ... MOBILE SPOTS, a service of 12:48 LLC (“12:48 LLC,” “ADZ... MOBILE SPOTS,” “we,” “us,” or “our”).

By using this website, submitting a form, requesting services, accepting a quote, or purchasing services, you agree to these Terms.

SERVICES

ADZ... MOBILE SPOTS offers mobile digital advertising and related campaign services, which may include digital advertising trucks, event-area visibility, campaign planning, scheduling, creative preparation, artwork adaptation, and related advertising support.

The exact services, number of trucks, dates, hours, routes, locations, pricing, and deliverables for a campaign will be identified in the applicable quote, proposal, invoice, order, or written booking confirmation.

AVAILABILITY REQUESTS ARE NOT BOOKINGS

Submitting an availability request does not reserve a truck, date, time, route, location, or advertising package.

A booking is not confirmed until:

• 12:48 LLC verifies availability;
• The client receives written confirmation or an approved quote or invoice; and
• Any required payment or deposit has been received.

Availability may change before confirmation. Advertising inventory is offered on a first-confirmed, first-paid basis unless otherwise stated in writing.

PRICING AND PAYMENT

Prices may vary according to the number of trucks, campaign package, activation date, operating hours, route, location, event, creative requirements, and requested add-ons.

The client is responsible for reviewing the applicable quote or invoice before payment. Taxes or other required charges may be added when applicable.

Payment deadlines, deposits, balances, and accepted payment methods will be stated in the applicable quote, invoice, or booking confirmation. Failure to pay by the stated deadline may result in the release of unconfirmed availability.

CANCELLATIONS, RESCHEDULING, AND REFUNDS

Any cancellation, rescheduling, credit, or refund terms provided in an accepted quote, invoice, proposal, or booking agreement will control that transaction.

If separate terms are not provided, cancellation or rescheduling requests must be submitted to 12:48 LLC in writing. Any available refund or credit will be evaluated based on work already completed, resources already committed, nonrecoverable service-provider charges, the timing of the request, and applicable law.

Submitting a request does not guarantee that rescheduling, a credit, or a refund will be available.

CLIENT ARTWORK AND CONTENT

The client is responsible for providing accurate, complete, and properly authorized artwork, logos, photographs, video, music, trademarks, claims, and other campaign content by the stated deadline.

The client represents that it owns or has obtained all necessary rights, licenses, releases, and permissions for submitted materials.

Content may not be unlawful, deceptive, defamatory, obscene, infringing, discriminatory, dangerous, or otherwise unsuitable for public display. 12:48 LLC may reject or request changes to content that does not satisfy legal, technical, operational, or quality requirements.

The client grants 12:48 LLC a limited license to process, adapt, reproduce, transmit, and display submitted materials solely as reasonably necessary to complete the campaign. Portfolio or promotional use by 12:48 LLC requires separate permission unless otherwise agreed in writing.

ARTWORK REQUIREMENTS AND DEADLINES

Clients must follow the creative specifications provided for their campaign. Late, incomplete, incorrectly sized, or technically unsuitable materials may delay the campaign or require additional creative charges.

Color, brightness, motion, and appearance may vary between computer screens and outdoor digital displays. Minor technical variations do not constitute a failure to provide the service.

ROUTES, EVENTS, AND OPERATING CONDITIONS

Requested routes, event areas, parking locations, and operating schedules remain subject to traffic, road access, public-safety requirements, venue restrictions, weather, mechanical conditions, government rules, and other circumstances beyond reasonable control.

When necessary, 12:48 LLC may make reasonable route, timing, equipment, or operational adjustments to protect public safety and complete the campaign. Material changes will be communicated when reasonably possible.

ADVERTISING RESULTS

Unless expressly guaranteed in a signed written agreement, 12:48 LLC does not guarantee a particular number of impressions, attendees, website visits, inquiries, leads, sales, revenue, or other business results.

Campaign results may be affected by location, traffic, weather, event attendance, creative quality, public interest, timing, and other factors outside our control.

INTELLECTUAL PROPERTY

The ADZ... MOBILE SPOTS name, 12:48 LLC branding, website content, package materials, graphics, designs, and original campaign materials created by 12:48 LLC remain protected by applicable intellectual-property laws.

Payment for a service does not transfer ownership of 12:48 LLC’s preexisting materials, systems, templates, branding, or methods unless a separate written agreement states otherwise.

SMS AND TEXT-MESSAGE TERMS

When you separately consent to receive text messages, you agree to receive non-marketing SMS communications from 12:48 LLC and ADZ... MOBILE SPOTS concerning availability requests, scheduling, quotes, invoices, payment reminders, artwork requirements, booking confirmations, and campaign updates.

Consent to receive SMS messages is not a condition of purchasing services.

Message frequency varies according to your request and campaign activity and will generally not exceed 10 messages per month, although additional transactional messages may be necessary during an active booking or campaign. Message and data rates may apply.

You can cancel the SMS service at any time by texting STOP to 561-987-5734. After you send STOP, we will send an SMS confirmation that you have been unsubscribed. After that, you will no longer receive SMS messages unless you separately opt in again.

Carriers are not liable for delayed or undelivered messages. Questions about your text or data plan should be directed to your wireless provider.

ACCEPTABLE WEBSITE USE

You may not use this website to submit fraudulent requests, interfere with website operation, attempt unauthorized access, distribute malicious code, violate another party’s rights, or engage in unlawful activity.

DISCLAIMER AND LIMITATION OF LIABILITY

Services are provided according to the applicable written booking terms and subject to the operational limitations described above.

To the fullest extent permitted by law, 12:48 LLC will not be responsible for indirect, incidental, special, punitive, or consequential damages, including lost profits or lost business opportunities.

To the fullest extent permitted by law, 12:48 LLC’s total liability arising from a specific campaign will not exceed the amount paid to 12:48 LLC for the portion of the service directly giving rise to the claim.

Nothing in these Terms excludes rights or remedies that cannot legally be excluded.

INDEMNIFICATION

To the extent permitted by law, the client agrees to defend and hold 12:48 LLC harmless from claims, damages, or expenses arising from client-provided content, unauthorized use of intellectual property, false advertising claims supplied by the client, or the client’s violation of these Terms or applicable law.

GOVERNING LAW

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute will be handled in an appropriate court located in Palm Beach County, Florida, unless applicable law requires otherwise.

CHANGES TO THESE TERMS

We may update these Terms periodically. The revised version will be posted with an updated date. Changes apply to future website use and transactions unless otherwise required by law.
